These terms explain how Drinks Network’s agency services work for Vendors who use them and Representatives who deliver them. They apply together with the RepShare Terms of Use and Payment Terms.
1. What we do
1.1 Drinks Network provides sales and market-development services for drinks brands. This includes on- and off-premise sales calls, tastings, merchandising, events, brand management, desk support and reporting.
1.2 We do this through Representatives we engage as independent contractors, and we manage the work in RepShare.
2. Who does what
2.1 Each party is responsible for the following:

3. Briefs and Jobs
3.1 Each piece of work is set out in a Brief: the brand, area, dates, services, hours, targets and approved expenses. Rates for each Job are set and shown in RepShare.
3.2 A Brief is binding once accepted in RepShare. Each visit or task under a Brief is a Job.
3.3 If a Brief changes, a new version is created and accepted again. Work done before the change stays on the old terms.
3.4 Targets and KPIs are goals, not guarantees.
4. Vendors
4.1 As a Vendor you must:
- (a) own, or have the right to sell, your products;
- (b) make sure your products, labels and claims comply with the law;
- (c) hold the licences needed to sell your products, or name a licensed wholesaler;
- (d) keep your product information, pricing and offers up to date in RepShare;
- (e) fill, invoice and handle returns for orders taken for you; and
- (f) give Representatives brand guidance through Drinks Network, not direct instructions.
5. Representatives
5.1 As a Representative you are an independent contractor. You choose which Jobs to accept and how to do them.
5.2 You must:
- (a) hold a current ABN, and an RSA where a Job involves alcohol;
- (b) only quote the prices, offers and claims the Vendor has approved;
- (c) follow venue rules and responsible service of alcohol laws;
- (d) record your time, notes and orders accurately and promptly; and
- (e) not drink beyond tasting amounts while working, or drive while impaired.
5.3 You are paid a percentage of the rate shown on each Job in RepShare, as set out in your Subcontractor Agreement.
6. Orders
6.1 Orders taken by Representatives are placed with the Vendor or its wholesaler, who decides whether to accept them and supplies the products.
6.2 Drinks Network passes orders on as the Vendor’s agent.
7. Samples, materials and expenses
7.1 Vendors supply samples, point-of-sale material and gifts with purchase as set out in the Brief.
7.2 Expenses are only charged if approved in advance.
7.3 Representatives’ own running costs, such as fuel, parking, phone and insurance, are not reimbursed.
8. Reports and data
8.1 Vendors can see the Jobs, visits, results and orders for their brands in RepShare.
8.2 A Vendor owns the product information and customer lists it gives us. Drinks Network owns the activity records it creates in running the agency.
8.3 When a Vendor leaves, we will export its records on request within 30 days.
9. Content
9.1 Photos, social posts and other content created for a Vendor’s brand belong to the Vendor once paid for.
9.2 Content must be approved by the Vendor before it is posted and must follow responsible alcohol marketing rules.
10. Agreements made in RepShare
10.1 Parties can make further agreements in RepShare, such as a Vendor engaging a Representative for a fixed term (for example, three months).
10.2 These agreements are made through Drinks Network. The Vendor pays Drinks Network, and Drinks Network pays the Representative.
10.3 A party may also upload its own agreement. It only takes effect once Drinks Network approves it and every party accepts it in RepShare. Once accepted, it is locked.
11. Working directly with each other
11.1 If a Vendor hires or directly engages a Representative it met through Drinks Network, within 12 months, it pays a placement fee of 30% of that person’s first-year pay.
11.2 A Representative must not approach a Vendor they worked with to work for it directly, for 6 months after leaving, unless they introduced that Vendor.
12. No guaranteed results
12.1 We will do the work with care and skill, but we cannot guarantee sales, listings, reorders or other results.
13. Ending services
13.1 Either party may end services on 30 days’ notice in RepShare.
13.2 Either party may end them immediately for a serious breach that is not fixed within 14 days of notice.
13.3 When services end, work done to that date is paid for, and any unused Vendor funds are refunded under the Payment Terms.
14. Liability
14.1 Each party is responsible for loss it causes through its own breach or negligence.
14.2 Vendors are responsible for claims about their products.
14.3 Nothing in these terms removes rights under the Australian Consumer Law.
15. Changes and law
15.1 We will give at least 30 days’ notice of any change that affects you, and you may stop using our services before it takes effect.
15.2 These terms are governed by the law of New South Wales.
